Operator App Terms
Last updated
These terms are an agreement between you and Distinctive Vending LLC ("Pinpoint Vending", "we"), covering the Pinpoint Vending operator app, the software we put on your machines, and the money we pay you for the advertising shown on your screens. They are a schedule to the Pinpoint Vending Terms ("the main terms"), which also apply to you. By creating an account you accept both. Where the two deal with the same point about the app, its screens or its earnings, this schedule is the one that applies.
1. Accounts
You must be 18 or older and able to enter a contract. You are responsible for what happens under your account and for keeping your sign-in secure. An account may have several people on it; each of them acts for the business that owns the account. Tell us promptly if you think someone else has access.
2. What we do and don't do
We connect screens to advertising demand. Most advertising reaches your screens through third-party advertising exchanges, chosen automatically by an auction rather than selected by us. We are not the advertiser, and we do not write, produce or approve most of what runs.
We do not guarantee that any particular volume of advertising will be available, that any screen will earn a particular amount, or that a screen will earn anything at all. Earnings depend on advertiser demand in your area, which varies.
3. Your screens
You agree that, for each machine you add:
- you own it, or you have permission from whoever does to run advertising on it;
- you have the right to run advertising at that location, including under any lease or venue agreement that applies;
- the location details you give us are accurate, because advertisers rely on them;
- you will keep the machine connected to power and the internet, since a screen that is off earns nothing.
Claiming a machine requires a code shown on its own screen. Do not claim a machine that is not yours. We don't check each claim by hand before it starts. We may reject or reverse a claim at any time, including after it has started.
If you give us a photograph of a machine, you confirm you have the right to, and you let us store it and use it to run and show that screen. Photographs you give directly to our advertising partner's platforms are handled there, and those platforms may produce an edited or AI-generated version.
4. What runs on them
You can switch off categories of advertising for each of your screens in the app. We pass those preferences to our advertising partners and they are applied on a best-efforts basis. Blocking categories reduces the number of advertisers who can bid, and usually reduces earnings.
If something runs that you believe is illegal, or that breaches your venue's rules, tell us through the help feature and we will work to block it. Because advertising is selected automatically and in real time, we cannot promise any specific advertisement will never appear.
5. Ads you upload
You may upload your own creative to run free on your own screens. You keep ownership of it, and you grant us the licence we need to store it, format it and display it on your screens.
You are responsible for what you upload: that you have the rights to every part of it, including music, footage, logos and any person's likeness, and that it is lawful and not deceptive. We review uploads before they run and may reject anything, at our discretion. Review is a practical check, not a legal clearance — it does not transfer responsibility to us.
6. Earnings and payment
6.1 Your share
You earn 80% of what we receive from our media partner, 4 Corners Media Group, for advertising on your screens, unless we have agreed a different rate with you in writing. We keep the other 20%.
A screen earns from the day you claim it or, for a machine we link to your account, from the day it was first set up on the advertising platform, unless we set a different date when linking.
6.2 The first 7 days
When you claim a screen, it starts a 7-day period straight away. During those days it earns, but the figures are not final and are not shown. When the period ends, the full amount appears at once and is added to your balance. It can be cashed out once it unlocks, as set out in 6.4. A machine we link to your account for you skips this period.
6.3 How amounts are worked out
Our advertising partner reports what each screen earned, day by day. We load those reports into your account from time to time, so the most recent days may not appear yet. If a figure is later restated, we post an adjustment rather than rewriting history, and you can see it in your account. Until earnings are in your balance, a correction from our partner can change the figures we show without a separate adjustment.
6.4 Getting paid
Earnings unlock according to the calendar month in which they were earned. A month's earnings can be cashed out from the 1st of the month that follows six further full months. For example, everything earned in January, on whatever day of January, unlocks on August 1. For the screens we have designated as early-unlock screens (our first 42 screens; we will tell you if any of yours are among them) the wait is one further full month instead, so January's earnings unlock on March 1. An adjustment to a month's earnings unlocks with that month.
You may request one cash out per calendar month, on any day of the month, for up to your whole unlocked balance, once that balance reaches $25.00. A cash out that fails or that we cancel does not use up the month. Dates and months are reckoned in US Eastern time. Payments are made through Stripe to the bank account you connect, usually within 5 business days. You must complete Stripe's identity checks before we can pay you; we have no way to pay you until you do.
6.5 Corrections and recovery
If we pay you an amount that was wrong — because of a reporting error, a duplicate, a claim we later reverse, or advertising later found to be fraudulent or not actually displayed — we may correct your balance and recover the difference from future earnings. If an overpayment cannot be recovered that way, you agree to return it on request.
7. Taxes
What we pay you is your income, and you are responsible for the tax on it. You are an independent business, not our employee, partner or agent. We may be required to report what we pay you to tax authorities and to collect tax information from you first; Stripe collects this during setup. We may withhold payment until it is provided.
8. Acceptable use
You agree not to:
- inflate, fake or tamper with play counts, or interfere with how advertising is measured;
- claim machines you have no right to;
- reverse engineer, decompile or tamper with our software, or interfere with its updates;
- point the service at anything unlawful, or use it to harass or defraud anyone;
- place screens where advertising would be unlawful or where you lack permission.
Fraudulent activity means we may withhold earnings connected to it. We will tell you why.
9. Ownership
We own the platform, the apps and our brand. You own your content and your business information. Nothing here transfers ownership either way. You may not use our name or logo without our permission, except to say truthfully that you run our screens.
10. Liability
Section 13 ("What we promise, and what we do not") and section 14 ("Limitation of liability") of the main terms apply to the app. In short, neither of us is liable to the other for lost profits, lost revenue, or indirect or consequential loss, and total liability is capped at the greater of the fees you paid us in the previous twelve months or $800. Nothing limits liability that cannot lawfully be limited, including fraud, or death or personal injury caused by negligence.
The cap does not reduce what we owe you. Earnings properly due to you are payable in full under section 6.
11. Disputes
Read this section carefully. It affects how disputes are resolved and limits your rights to go to court.
Section 16 ("Disputes") of the main terms applies to the app. In short:
- Talk first. Email legal@pinpoint-vending.com. We both try to resolve the matter for 30 days before going further.
- Arbitration. Disputes go to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, in Delaware, in English.
- No class actions. Claims are brought individually only.
- Exceptions. Either of us may bring an individual claim in small-claims court, or ask a court for an injunction to protect intellectual property or confidential information.
- Law and courts. Delaware law applies. Where a dispute goes to court, the state and federal courts in Delaware have exclusive jurisdiction.
This is a summary. If it differs from section 16 of the main terms, section 16 applies.
12. Suspension and termination
You may close your account at any time. We may suspend or close an account that breaches these terms, or where we are required to.
When an account closes, other than for fraud, closing does not shorten the wait in section 6.4 or forfeit anything. We pay each month's earnings as that month unlocks. The one-per-month limit and the $25.00 minimum do not apply to these payments, but you must still complete Stripe's identity checks.
Sections 6.5, 7, 9, 10, 11 and 14, and this section, survive termination.
13. Changes
We may change these terms. For material changes we will give account holders at least 30 days' notice by email, and you can close your account if you disagree. Continuing to use the service after a change takes effect means you accept it.
14. General
These terms, the main terms, the Operator App Privacy Supplement, the Pinpoint Vending privacy policy and the Data Processing Addendum are the whole agreement between us on this subject. Notices, assignment and the other general terms are in section 18 of the main terms. If any provision here is unenforceable, the rest stands.
